Terms and Conditions of Sale
Effective Date: April 14, 2025 | Exclusive for Business Customers (B2B)
Important Notice: These terms govern the sale of products by HYSTOU to business entities. By placing an order, you confirm that you are purchasing for commercial, industrial, or professional use.
1. General Provisions
1.1 These Terms and Conditions (“Terms”) apply to all contracts for the sale of goods entered into by Shenzhen Hystou Technology Co., Limited (“Seller”, “HYSTOU”) and the purchasing business entity (“Buyer”).
1.2 Any conflicting terms proposed by the Buyer are rejected unless expressly accepted in writing by HYSTOU.
2. Quotes, Orders & Payment
2.1 Quote Validity
Quotations issued by HYSTOU are valid for a period of 7 days from the date of issue, after which pricing and availability are subject to change.
2.2 Payment Terms
We offer flexible payment options based on the order volume:
- Small / Sample Orders: We primarily accept PayPal. This ensures buyer protection and fast processing for smaller amounts.
- Bulk Orders (>20 Units): For orders exceeding 20 units, we accept Telegraphic Transfer (T/T). A 30% deposit is required to confirm the order, with the remaining 70% balance due before shipment.
- Large Volume / Custom Contracts: Payment terms for high-volume orders are negotiable. Please contact our sales team to discuss alternative arrangements.
Note: Unless otherwise agreed, all bank charges and transaction fees shall be borne by the Buyer.
3. Shipping, Delivery & Inspection
3.1 Shipping Origin & Terms
All products are shipped from Shenzhen, China. Unless specific Incoterms are agreed upon in the contract, shipments are made on an Ex-Works (EXW) or FOB Shenzhen basis.
3.2 Inspection & Claims
Upon receipt of the shipment, the Buyer must inspect the goods immediately.
- Claim Window: Any claims for visible damage, shortage, or non-conformity must be submitted to HYSTOU within 7 days of delivery.
- Evidence Required: To process a claim, the Buyer must provide clear video and photographic evidence showing the unopened package, the unboxing process, and the specific damage or defect. Claims without video evidence may be rejected.
4. Warranty Policy
4.1 Warranty Period
HYSTOU stands behind the quality of its products. We provide a standard 3-Year Warranty (36 Months) for all Mini PC and Industrial PC hardware products, commencing from the date of the commercial invoice.
4.2 Coverage
This warranty covers defects in materials and workmanship under normal use. It does not cover damages resulting from misuse, unauthorized modification, overclocking, improper installation, or external causes such as power surges.
5. Returns & Repairs (RMA)
5.1 RMA Process
No products may be returned without a prior Return Merchandise Authorization (RMA) number obtained from HYSTOU Support.
5.2 Repair Turnaround Time
We strive to minimize downtime for your business. Once the defective unit is received at our facility, we aim to repair or replace it within a reasonable timeframe (typically 14-21 business days), subject to parts availability.
5.3 Shipping Costs (One-Way Policy)
To ensure fairness in international trade, shipping costs for warranty claims are shared:
- Sending: The Buyer is responsible for the shipping costs and customs clearance to return the defective product to HYSTOU (China).
- Returning: HYSTOU will cover the shipping costs to send the repaired or replacement unit back to the Buyer.
6. Liability & Intellectual Property
Limitation of Liability: HYSTOU shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data. Our maximum liability is limited to the purchase price of the specific product.
Intellectual Property: All software, firmware, and designs remain the property of HYSTOU or its licensors. Reverse engineering is strictly prohibited.
7. Dispute Resolution
These terms are governed by the laws of P.R. China. Any disputes arising from international sales that cannot be settled through negotiation shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration.
